To consider in outline some of the tax aspects encountered on the sale and purchase of businesses and assets

Outcomes:
An understanding of the considerations which drive a particular structure for a business and asset deal and the issues when apportioning the price.

Agenda:
* Issues for Sellers and Buyers when the business is carried on by a company- share or asset sale?
* Apportioning the price - potential traps for the unwary
* Value Added Tax - the Transfer of a Going Concern regulations and the position when a property is of the assets of the business
* Stamp Duty Land Tax

Martin Tomsett
Martin Tomsett is a solicitor and Consultant in Southampton. He was formerly a partner with White & Bowker where he led the Corporate and Commercial Team and the Insolvency and Business Recovery Team. He lectures regularly on share and asset sales, security documentation and non-contentious insolvency topics.
